Terms of Service

The rules of the road for using Kauli's products and services. We've kept things as clear and readable as possible.

These terms were last updated July 11, 2026.

1. Who You're Agreeing With

Which means: depending on where you live, you're contracting with our Canadian entity or our US entity. Both follow the same rules.

"Kauli" refers collectively to Kauli AI Inc. (federally incorporated in Canada) and Kauli AI USA Inc. (incorporated in Delaware, USA). The two entities operate as a single business and share this website. The Kauli entity that contracts with you depends on where you reside:

By accessing or using this website or any Kauli service, you agree to these Terms. If you are using a Kauli service on behalf of an organization, you represent that you have the authority to bind that organization. If you don't agree, please don't use the website or our services.

2. What These Terms Cover

Which means: these Terms cover this website and the AI Readiness Assessment. Bigger work — consulting and configuration engagements, paid products — is governed by the specific agreement we sign with you, which takes precedence.

These Terms cover your use of:

For consulting engagements — configuring and integrating the platform to your operation, data preparation, and any development we agree to — the specific scope, deliverables, fees, and obligations are set out in the engagement agreement we sign with you.

3. Use of the Website

Which means: use the site for honest, lawful purposes. Don't try to break it, scrape it aggressively, or pretend to be someone you're not.

You may use this website for lawful purposes and in accordance with these Terms. You agree not to:

If you violate these Terms, we may take reasonable steps to limit or end your access.

4. The AI Readiness Assessment

Which means: the report is informational guidance, not professional advice. AI helps generate parts of it, so it may occasionally be wrong. You're responsible for what you do with it. We may improve, change, or retire the Assessment over time.

The AI Readiness Assessment is a free, self-service tool offered for informational purposes. By submitting it, you agree to the following:

Kauli may change or update the AI Readiness Assessment from time to time — including the questions, scoring approach, report format, or availability — as we refine the methodology and learn from how it's used. We make no commitment to keep the Assessment available indefinitely or in any particular form.

5. Products and AI-Embedded Software

Which means: when we ship products, your data stays scoped to you. We don't train AI models on your raw data, and only sanitized aggregated telemetry flows back to us. In return, you agree not to misuse our products.

Where Kauli provides ongoing products or AI-embedded software solutions, the following apply alongside any product-specific terms:

Specific product capabilities, service levels, and commercial terms are set out in the applicable product-specific terms or engagement agreement.

6. Software license for self-deployed products

Which means: when we ship software for you to run on your own infrastructure, you get a licence to use it for your business during your engagement. You can't redistribute it, reverse-engineer it, or use it to provide services to other people without a separate agreement.

Where a Kauli product is offered as software that customers operate on their own infrastructure, Kauli grants the customer a non-exclusive, non-transferable, revocable licence to install and use the product for their internal business purposes during the term of the applicable engagement or subscription.

Restrictions: the customer may not (a) copy or redistribute the software outside their organization, (b) reverse-engineer, decompile, or disassemble the software except as permitted by applicable law, (c) remove or obscure proprietary notices, (d) sub-license the software to a third party, or (e) use the software to provide a service to third parties without a separate written agreement with Kauli.

The licence terminates on expiry or termination of the applicable engagement. On termination, the customer ceases use of the software and destroys or returns Kauli software within 30 days. The customer's data processed within their deployment remains theirs; Kauli does not retain copies on its central infrastructure.

Where the software includes or installs open-source components or optionally-installed open-source services (for example, customer-facing add-ons such as content-management or customer-relationship tools that the software can deploy alongside itself), those components are subject to their own licences. The software documents the licence applicable to each such component before installation; the customer accepts those licences when they choose to install the corresponding component.

7. Acceptable use

Which means: use Kauli services and software for honest, lawful purposes. Don't break the law, distribute malware, abuse our infrastructure, or use our software in ways that violate other companies' terms.

You agree not to use Kauli services or software to:

We may suspend or terminate access for violations of this section. For self-deployed software, the customer remains responsible for the use of the software within their organization; violations of acceptable use by the customer's end users are the customer's responsibility to remediate.

8. Intellectual Property

Which means: we own our stuff (the website, our software, our brand). You own yours. If you give us feedback, we may use it freely.

Kauli and its licensors retain all right, title, and interest in this website, our products and services, and all underlying software, models, content, documentation, trademarks, and other intellectual property. Nothing on this site grants you ownership of any Kauli technology.

The original design, written content, and graphics on this website are protected by copyright as original works of authorship. The "Kauli" name and logo are claimed as trademarks of Kauli AI Inc. and Kauli AI USA Inc. You may not copy, modify, distribute, or commercially use any of them without our written permission, except where fair use or fair dealing applies.

Your content

You retain ownership of any content, data, or materials you provide to us through this website or as part of an engagement. By providing content, you grant us a limited license to use it for the purpose of responding to you, delivering the work you've engaged us for, and operating the website -- nothing more.

Feedback

If you give us suggestions, ideas, or other feedback about our website, products, or services, we may use that feedback without restriction or obligation to you.

9. Disclaimers

Which means: the free website and Assessment come without warranties. Paid work has its own.

This website and the AI Readiness Assessment are provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure against every conceivable threat.

Where Kauli provides paid products or consulting services, any warranties applicable to those engagements are set out in the applicable agreement.

10. Service availability

Which means: if you run our software on your own infrastructure, you handle uptime; we ship working software and security updates. Hosted services have their own SLA. Beta software comes with no commitments.

Self-deployed software is operated by the customer on infrastructure the customer controls. Kauli does not provide a service-level agreement or uptime commitment for software the customer hosts. Kauli is responsible for shipping working software and providing security updates and bug fixes during the licence term per Section 6 (Software license for self-deployed products) above.

Kauli-hosted services, where Kauli offers them, are governed by a separate Service Level Agreement provided at engagement.

Beta and pre-release software (software designated "beta," "preview," "early access," or similar) is provided for evaluation and may have bugs, missing features, performance issues, or be discontinued without notice. We do not provide service-level commitments for pre-release software, and the warranties and liability limits in Section 9 (Disclaimers) and Section 12 (Limitation of Liability) apply with full force.

11. Events Beyond Our Control

Which means: if something major and unavoidable disrupts our services — internet outages, natural disasters, cyberattacks, government actions — we're not on the hook for the disruption.

Neither party will be liable for any failure or delay in performing under these Terms (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, fires, floods, public health emergencies, government actions, cyberattacks, internet or utility outages, acts of war, civil unrest, or labor disputes. The affected party will use reasonable efforts to resume performance as soon as practicable and will keep the other party informed of material developments.

12. Limitation of Liability

Which means: for the free website and Assessment, our liability is limited to the maximum extent the law allows. Paid work is governed by its own engagement agreement.

To the maximum extent permitted by applicable law, Kauli will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of this website or the AI Readiness Assessment, regardless of the cause of action. Our total aggregate liability for any claim related to your use of the website or the Assessment is limited to the maximum extent permitted by applicable law.

Liability arising from paid products or consulting engagements is governed by the applicable engagement agreement, not by this section.

13. Indemnification

Which means: if your use of our services or the things you submit cause a third party to bring a claim against us, you cover us. We'll keep you in the loop and you can't settle on our behalf without our sign-off.

You agree to indemnify and hold harmless Kauli, its affiliates, and their respective directors, officers, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

We'll let you know promptly about any claim covered by this section and cooperate with the defense in good faith. You won't settle a claim that imposes obligations on Kauli without our prior written consent. We reserve the right, at our option and expense, to take control of the defense of any such claim with counsel of our choosing.

14. Modifications to These Terms

Which means: we may update these. Material changes get a notice; minor ones (typos, clarifications) we may make silently.

We may update these Terms from time to time as our practices, products, or legal obligations change. When we make material changes, we'll update the "last updated" date at the top of this page and, where reasonable, notify people who have opted in to communications. For non-material changes (typos, clarifications), we may update the page silently.

Your continued use of the website after we post an updated version means you accept the updated Terms. If you don't agree with the updates, please stop using the website.

15. Governing Law and Disputes

Which means: your engagement agreement with us governs paid work. For free use of this website or the AI Readiness Assessment, country-level default law applies.

Your engagement agreement with Kauli governs choice of law and forum for any paid services. For use of this website or the AI Readiness Assessment outside of any such agreement, these Terms are governed by the laws of the country in which the contracting Kauli entity is incorporated (Canada for Kauli AI Inc.; the United States for Kauli AI USA Inc.), without regard to conflict-of-laws rules.

Both parties agree to attempt to resolve disputes in good faith before starting formal legal proceedings.
